Co-Broker (Cooperating Broker)

The agent or brokerage representing the other side of a transaction — typically the buyer's agent on a listing deal, who earns a split of the gross commission.

What is Co-Broker (Cooperating Broker)?

A co-broker (short for cooperating broker) is the licensed real estate brokerage — and by extension the agent — representing the opposite party in a transaction. On a standard residential listing, the listing agent represents the seller and the co-broker represents the buyer. On a buyer-representation deal, the roles are reversed: the buyer's agent is the primary broker and the listing side is the co-broker.

The term originates from how the MLS works: listing agents offer a cooperating commission to any MLS member who procures a ready, willing, and able buyer. When a co-broker brings that buyer and the deal closes, the co-broker's brokerage receives its share of the gross commission — typically 2–3% of the purchase price, paid by the seller through the closing statement. This commission-sharing structure is the economic engine of residential real estate cooperation.

**Co-broker commission splits and how they work.** The listing agreement sets the total commission (typically 5–6% in most markets). The listing broker offers a portion of that to the co-broker via the MLS. That offered amount is called the BAC (Buyer Agent Compensation) or co-broke commission. After the NAR settlement in 2024, MLS rules around how and where BAC is advertised changed significantly: buyer-agent compensation can no longer be posted on most MLS systems, and buyers must now sign a written buyer-broker agreement before touring. Despite the rule change, co-broke commission is still negotiated and paid at closing — the mechanics of the split are just handled through separate written agreements rather than the MLS field.

**What a transaction coordinator does with the co-broker.** Once an offer is accepted and the file is opened, the TC becomes the primary day-to-day contact for both sides. On the listing side, the TC: - Sends a formal intro email to the co-broker (and their TC if they have one) within 24 hours of mutual acceptance - Shares the fully executed contract and all addenda with the co-broker's file - Coordinates timeline milestones — inspection deadlines, contingency removal dates, lender document deadlines — so both sides are working from the same calendar - Escalates immediately when the co-broker or their client goes silent on a deadline - Confirms closing logistics (signing time, wire instructions, possession time) with both sides - Sends the fully executed closing package to both brokerages for compliance

Silent or unresponsive co-brokers are one of the top causes of delayed closings. A proactive TC follows up before deadlines, not after they're missed.

**Co-broker vs. dual agency.** When the listing agent also represents the buyer — either directly or through another agent in the same brokerage — the transaction becomes dual agency (or designated agency in states that allow it). Co-broker commission doesn't apply in a true dual-agency deal because one brokerage represents both sides and keeps the full commission. Most states require written disclosure and consent from both parties before a dual agency arrangement is permitted.

**Co-broker communication on investor deals.** Wholesale assignments, subject-to, and double-closing deals often involve a co-broker who has never seen that deal structure before. The TC's job on these files includes educating the co-broker on the closing mechanics — explaining why there are two HUDs, what a simultaneous close looks like, and who funds what at each table — so the other side doesn't kill the deal out of confusion.
