A condition in the contract that must be satisfied before the deal can close, allowing either party to back out if not met.

What is Contingency?

A Contingency is a condition in the purchase contract that must be satisfied before the deal can close. The most common contingencies are inspection (buyer can back out after inspecting the property), financing (buyer can back out if they can't get a loan), and appraisal (buyer can back out if the property doesn't appraise for the contract price).

Each contingency has a deadline. If the buyer doesn't object or extend the contingency by that deadline, it's automatically removed and the buyer is locked in. Tracking contingency deadlines is one of the most critical TC responsibilities — missing one can cost the buyer their EMD or expose them to a lawsuit.
